1. Acceptance of Terms

By accessing or using the Nuveflow Assessment Platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

Nuveflow provides a digital mental health assessment platform designed for healthcare providers. Our Service includes:

  • Automated PHQ-9 and GAD-7 mental health assessments
  • Patient management and progress tracking
  • HIPAA-compliant data storage and transmission
  • Clinical decision support tools
  • Assessment result analysis and reporting

3. User Eligibility and Account Registration

3.1 Eligibility

The Service is intended exclusively for licensed healthcare providers, including but not limited to:

  • Licensed physicians, psychiatrists, and psychologists
  • Licensed clinical social workers and counselors
  • Nurse practitioners and physician assistants
  • Other healthcare professionals authorized to conduct mental health assessments

3.2 Account Responsibility

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account.

4. HIPAA Compliance and Patient Data

4.1 Business Associate Agreement

By using our Service, you acknowledge that Nuveflow serves as your Business Associate under HIPAA. We maintain appropriate safeguards to protect Protected Health Information (PHI) in accordance with 45 CFR §§ 164.308, 164.310, 164.312, and 164.316.

4.2 Data Security

We implement industry-standard security measures including:

  • End-to-end encryption for data transmission
  • Encrypted data storage with AES-256 encryption
  • Multi-factor authentication
  • Regular security audits and penetration testing
  • Employee background checks and HIPAA training

4.3 Data Breach Notification

In the event of a data breach affecting PHI, we will notify you within 24 hours of discovery, as required by HIPAA regulations.

5. Acceptable Use

5.1 Permitted Uses

You may use the Service only for:

  • Conducting legitimate mental health assessments for your patients
  • Clinical decision-making within your scope of practice

6. Clinical Responsibility

6.1 Professional Judgment

The Service provides assessment tools and clinical decision support, but does not replace professional clinical judgment. You remain solely responsible for:

  • All clinical decisions and patient care
  • Interpreting assessment results within clinical context
  • Ensuring appropriate follow-up care
  • Compliance with applicable medical standards and regulations

6.2 Limitations

Our Service is a screening and assessment tool, not a diagnostic instrument. Assessment results should be considered alongside other clinical information and your professional expertise.

7. Subscription and Payment

7.1 Subscription Plans

We offer various subscription plans with different features and usage limits. Current pricing is available on our website and may be updated with reasonable notice.

7.2 Payment Terms

  • Subscription fees are billed in advance on a monthly or annual basis
  • Payment is due immediately upon billing
  • Late payments may result in service suspension
  • All fees are non-refundable except as expressly stated

7.3 Cancellation

You may cancel your subscription at any time. Cancellation will take effect at the end of your current billing period. You remain responsible for all charges incurred prior to cancellation.

8. Data Retention and Deletion

Upon termination of your account, we will securely delete all PHI within 30 days, unless you request an extension for clinical continuity purposes. Non-PHI data may be retained for legitimate business purposes in accordance with our Privacy Policy.

9. Intellectual Property

The Service, including all content, features, and functionality, is owned by Nuveflow and protected by copyright, trademark, and other intellectual property laws.

9.2 Your Rights

You retain ownership of all patient data and clinical information entered into the Service. You grant us a limited license to process this data solely to provide the Service.

10. Disclaimers and Limitations

10.1 Service Availability

While we strive for high availability, we do not guarantee uninterrupted access to the Service. We may perform maintenance that temporarily affects service availability.

10.2 Medical Disclaimer

The Service is not intended to diagnose, treat, cure, or prevent any medical condition. It is a clinical tool to assist healthcare providers in their professional practice.

10.3 Limitation of Liability

To the maximum extent permitted by law, Nuveflow shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.

11. Indemnification

You agree to indemnify and hold Nuveflow harmless from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, or violation of any applicable laws or regulations.

12. Modifications to Terms

We may modify these Terms at any time. Material changes will be communicated to you at least 30 days in advance via email or through the Service. Continued use of the Service after changes become effective constitutes acceptance of the modified Terms.

13. Termination

We may terminate or suspend your account immediately if you violate these Terms, pose a security risk, or engage in fraudulent activity. Upon termination, your right to use the Service ceases immediately.
